Terms of Service

1. Acceptance of Terms

By accessing or using the ClubMe.me platform (the “Platform”), you agree to be bound by these Terms of Service (the “Terms”). If you are registering on behalf of a minor (an individual under 18 years of age), you confirm that you are the parent or legal guardian of such minor and that you consent to the processing of the minor's personal data as described in our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Platform.

2. Definitions

• “Platform” means the ClubMe.me web application, including all its features, pages, and APIs.
• “Service Provider” / “We” means Tiba Group, operating as Tiba Academy, the entity responsible for the Platform.
• “User” / “You” means any individual who accesses or uses the Platform, including Guardians, Players, Staff, and Administrators.
• “Guardian” means the parent or legal guardian who registers and manages a Player's account.
• “Player” means a minor enrolled in an academy managed through the Platform.
• “Staff” means coaching, administrative, or management personnel of an academy.
• “Academy” means a sports training organization that uses the Platform to manage its operations.

3. Eligibility

The Platform is intended for use by individuals aged 18 years or older. Minors may be enrolled as Players by their Guardian but may not independently create accounts or use the Platform without Guardian supervision.

By registering, you represent that:

• You are at least 18 years of age.
• If registering a minor, you are the legal parent or guardian of that minor.
• All information you provide is accurate, current, and complete.
• You have the legal capacity to enter into these Terms.

4. Account Registration and Security

4.1 Account Creation

To use the Platform, you must create an account by providing accurate personal information and agreeing to the Privacy Policy. Academy administrators create staff accounts based on verified employment.

4.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify us at support@clubme.me if you suspect unauthorized access to your account.

4.3 Account Suspension

We reserve the right to suspend or terminate any account that violates these Terms, is used fraudulently, or poses a risk to the security of the Platform or other users.

5. Permitted and Prohibited Uses

5.1 Permitted Uses

The Platform is provided exclusively for the management of sports academy operations, including player registration, scheduling, attendance, financial administration, and communication between academies and their members.

5.2 Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of UAE law.
• Attempt to gain unauthorized access to any part of the Platform, other accounts, or any systems or networks connected to the Platform.
• Interfere with the security, integrity, or performance of the Platform.
• Upload, transmit, or distribute any malicious software, code, or content.
• Use automated tools, bots, or scrapers to access the Platform without authorization.
• Impersonate any person or entity or misrepresent your affiliation.
• Use another user's account without their explicit permission.
• Collect, harvest, or store personal data of other users except as necessary for authorized academy operations.

6. Subscriptions, Payments, and Refunds

6.1 Academy Subscriptions

Players are enrolled in training packages through their Academy. Package details, pricing, session allocations, and expiry terms are set by each Academy and displayed at the time of enrollment.

6.2 Payment

Payments for academy services are processed through the Platform. The Platform records invoices and tracks payment status but does not directly process credit card transactions. All payment card processing is handled by PCI-DSS compliant third-party providers.

6.3 Session Wallet

The Platform maintains a session wallet (credit/debit ledger) for each Player, tracking session allocations, consumptions, and adjustments. Wallet balances represent prepaid session credits, not monetary value.

6.4 Refund Policy

Refund policies are determined by each Academy. The Platform facilitates the recording of refunds but does not independently determine refund eligibility. Disputes regarding payments or refunds should be directed to the relevant Academy.

7. Intellectual Property

The Platform, including its design, code, features, logos, and content, is the intellectual property of Tiba Group and is protected under UAE intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose.

You may not copy, modify, distribute, reverse engineer, decompile, or create derivative works from any part of the Platform without our prior written consent.

8. Data Protection and Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, protect, and share your personal data. By using the Platform, you acknowledge that you have read and understood the Privacy Policy.

For users registering minors: by accepting these Terms and the Privacy Policy, you provide explicit consent for the processing of your minor child's personal data as described therein, in compliance with UAE Federal Decree-Law No. 45/2021 (PDPL) and Federal Decree-Law No. 26/2025 (Child Digital Safety).

9. Disclaimers

9.1 Platform Availability

We strive to maintain the Platform's availability but do not guarantee uninterrupted or error-free access. We may perform scheduled maintenance, updates, or emergency fixes that temporarily affect availability.

9.2 Academy Services

The Platform is a management tool for academies. We are not responsible for the quality, safety, or suitability of the sports training services provided by individual Academies. Each Academy is independently responsible for its coaching standards, facilities, insurance, and safety protocols.

9.3 Medical Information

Medical notes stored on the Platform are provided by Guardians for the purpose of safe activity participation. This information does not constitute medical advice. Academies and Guardians remain jointly responsible for ensuring a Player's fitness to participate in physical activities.

10. Limitation of Liability

To the maximum extent permitted by UAE law:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
• Our total cumulative liability to you for any claims arising from these Terms or your use of the Platform shall not exceed the total fees paid by you (or your Academy on your behalf) to us in the 12 months preceding the claim.
• We are not liable for damages caused by unauthorized access to your account resulting from your failure to maintain the security of your credentials.

Nothing in these Terms limits liability for fraud, willful misconduct, death, or personal injury caused by negligence, or any other liability that cannot be excluded under UAE law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Tiba Group, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising from your violation of these Terms, your misuse of the Platform, or your violation of any applicable law.

12. Termination

12.1 By You

You may close your account at any time by contacting support@clubme.me or using the account deletion feature within the Platform. Upon termination, your personal data will be handled in accordance with the Data Retention section of our Privacy Policy.

12.2 By Us

We may suspend or terminate your access to the Platform with notice if you breach these Terms, engage in fraudulent activity, or if continued provision of the service becomes commercially impractical or legally prohibited. In cases of serious security threats, we may act without prior notice.

12.3 Effect of Termination

Upon termination, your right to access the Platform ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and dispute resolution) shall survive.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Platform shall be resolved as follows:

• First, by good-faith negotiation between the parties for a period of 30 calendar days.
• If negotiation fails, the dispute shall be submitted to the competent courts of the United Arab Emirates.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Platform at least 14 days before they take effect. Your continued use of the Platform after the effective date of any changes constitutes acceptance of the modified Terms. If you do not agree, you must stop using the Platform and close your account.

15. General Provisions

• Severability: If any provision of these Terms is found invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Tiba Group regarding the Platform and supersede all prior agreements.
• Assignment: You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Language: These Terms are currently provided in English, which is the governing version. An Arabic translation will be made available in due course.
